TERMS OF SERVICE HER VELVET NIGHTS, LLC

1. ACCEPTANCE OF TERMS
These Terms of Service (“TOS” or “Agreement”) constitute a legally binding agreement between you (“User,” “Member,” or “you”) and Her Velvet Nights, LLC, a New Mexico limited liability company (“Company,” “we,” “us,” or “our”).

Her Velvet Nights, LLC owns and operates the website HerVelvetNights.com, including all subdomains, mobile versions, applications, communication systems, and related services (collectively referred to as the “Site” or “Service”).

By accessing the Site, creating an account, submitting an application, or using any feature of the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement. IF YOU DO NOT AGREE WITH ALL TERMS OF THIS AGREEMENT, YOU ARE PROHIBITED FROM USING THE SERVICE AND MUST DISCONTINUE USE IMMEDIATELY.

2. MODIFICATION OF TERMS
Her Velvet Nights, LLC reserves the right to update or modify these Terms at any time. Revised Terms will be posted on the Site with an updated “Last Updated” date. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

3. STATEMENT OF PURPOSE AND SERVICE DESCRIPTION
Her Velvet Nights, LLC operates a private social networking and lifestyle community platform for adults who wish to communicate online with other adults for social networking, dating, lifestyle discussion, and community engagement. The Service may include:

  •  Websites and web applications
  • Mobile interfaces and future mobile applications
  • Chat rooms and messaging systems
  • Community forums and bulletin boards
  • Event listings and event discovery tools
  • User profile systems and media sharing tools

The Company may modify, suspend, or discontinue any feature of the Service at its discretion.

4. PLATFORM ROLE AND USER INTERACTIONS
The Service functions solely as an online communications platform.

Her Velvet Nights, LLC does not act as a matchmaker, broker, agent, representative, or intermediary for users.

The Company does not verify, endorse, or guarantee the identity, intentions, background, or safety of any member.

Users are solely responsible for their interactions with other members both online and offline.

Any meetings, communications, or interactions between users occur entirely at the users’ own risk.

The Company does not conduct criminal background checks on users and makes no representations regarding the safety or integrity of members.

5.ELIGIBILITY AND AGE REQUIREMENTS
You must be at least twenty‑one (21) years of age to use the Service. By using the Service you represent and warrant that:

  •  You are at least 21 years old
  • You have the legal capacity to enter into this Agreement
  • You are not prohibited from using the Service under applicable law

Accounts operated by minors will be terminated immediately. Registered sex offenders are prohibited from using the Service.

6. ACCOUNT REGISTRATION AND SECURITY
Users are responsible for maintaining the confidentiality of their account credentials. You are responsible for all activity occurring under your account. You agree to notify the Company immediately if you become aware of any unauthorized use of your account. Her Velvet Nights, LLC shall not be liable for losses resulting from unauthorized account access caused by your failure to safeguard login credentials.

7. USER DATA AND CONTENT LICENSE
“User Data” includes any text, files, images, media, or information uploaded to the Service. By submitting User Data, you grant Her Velvet Nights, LLC a non‑exclusive, worldwide license to host, transmit, store, reproduce, and display such content for purposes of operating the Service. Visual Content (photos or videos) may be deleted by the user, which terminates the platform’s license to display them going forward. Textual Content such as forum posts, comments, and discussions may remain in anonymized archival form in order to preserve the integrity of community discussions.

8. USER‑GENERATED CONTENT AND PLATFORM IMMUNITY
The Service contains content generated by users. Users are solely responsible for the content they upload or distribute through the platform. Under applicable law, including Section 230 of the Communications Decency Act, Her Velvet Nights, LLC is not liable for user‑generated content or user conduct.

9. PRIVACY SHIELD AND COMMUNITY CONFIDENTIALITY
The Service is designed to support a privacy‑focused community environment. Users agree not to:

  • Take screenshots or screen recordings of profiles or conversations
  • Share private communications outside the platform
  • Distribute member data without consent

Unauthorized disclosure of member communications or data may cause significant reputational and privacy harm.

Because damages from privacy violations are difficult to quantify, users agree that liquidated damages of $5,000 per violation represent a reasonable estimate of harm and are not intended as a penalty.

10. ACCEPTABLE USE
Users agree not to:

  1. Harass, threaten, or abuse other members
  2. Impersonate another person
  3. Upload illegal content
  4. Use automated scraping or data harvesting tools
  5. Circumvent platform security measures
  6. Use the Service to gather information for publication, research, or investigative reporting without written consent from the Company

11. PROHIBITED COMMERCIAL OR ILLEGAL ACTIVITY
The Service may not be used to advertise, solicit, or arrange prostitution, escort services, or any illegal commercial sexual activity.

Accounts suspected of engaging in illegal activity may be terminated immediately and may be reported to authorities if required by law.

12. CONTENT STANDARDS
Her Velvet Nights, LLC is a lifestyle social community and not an explicit adult‑content repository.

Users may not upload content containing:

  • Explicit sexual acts
  • Explicit display of genitalia
  • Content involving minors
  • Illegal or exploitative material

Users remain solely responsible for all content they upload.

13. EVENT PROMOTION AND THIRD‑PARTY ACTIVITIES
Users may promote independent events using the platform. Her Velvet Nights, LLC acts solely as a communications platform and does not organize, supervise, or control third‑party events. Attendance at third‑party events occurs entirely at the user’s own risk. Events organized directly by the Company may require separate agreements or liability waivers.

14. VIRTUAL CURRENCY AND PLATFORM FEATURES
The Service may offer credits, tokens, or digital features. These items:

15. INTELLECTUAL PROPERTY
All software, platform systems, branding, logos, trademarks, and design elements of the Service are the exclusive property of Her Velvet Nights, LLC.

Users may not copy, reproduce, modify, distribute, or reverse engineer any portion of the Service without written permission.

16. MODERATION AND CONTENT REMOVAL
The Company reserves the right to remove or restrict any content that violates these Terms or threatens the safety of the community.

Moderators may edit, remove, or lock discussion threads at their discretion.

Repeated violations may result in account suspension or termination.

17. AI AND AUTOMATED MODERATION
The Service may utilize automated systems, machine learning tools, or artificial intelligence to assist in moderation, security monitoring, and content review.

These tools may flag or remove content that appears to violate platform rules.

18. DISCLAIMER OF WARRANTIES
The Service is provided on an “as‑is” and “as‑available” basis.

Her Velvet Nights, LLC disclaims all warranties including:

  • merchantability
  • fitness for a particular purpose
  • non‑infringement
  • uninterrupted or error‑free operation

19. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Her Velvet Nights, LLC shall not be liable for indirect, incidental, consequential, or punitive damages.

The total liability of the Company for any claim related to the Service shall not exceed the greater of:

  • $100 USD, or
  • the amount paid by the user to the Service in the previous twelve (12) months.

20. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Her Velvet Nights, LLC and its officers, employees, and agents from any claims arising from:

  • your use of the Service
  • violation of these Terms
  • content you upload
  • interactions with other users or attendance at events

21. DISPUTE RESOLUTION AND ARBITRATION
Before filing legal action, users agree to attempt informal dispute resolution by contacting Admin@HerVelvetNights.com and allowing thirty (30) days for response.

If disputes cannot be resolved informally, they shall be resolved through binding arbitration.

Users agree to bring claims only in their individual capacity and not as part of any class action.

Any claim must be filed within one (1) year after the cause of action arises.

22. GOVERNING LAW
This Agreement shall be governed by the laws of the State of New Mexico.

Any permitted legal proceedings shall occur in courts located in Santa Fe County, New Mexico.

23. TERMINATION
Her Velvet Nights, LLC may suspend or terminate accounts at any time for violations of these Terms or conduct that threatens the safety or integrity of the community.

24. SECURITY AND PERSONAL RESPONSIBILITY
While the Company implements reasonable security measures, no online system can guarantee complete security or anonymity.

Users are responsible for exercising discretion when sharing personal information.

26. ENTIRE AGREEMENT
These Terms constitute the entire agreement between the User and Her Velvet Nights, LLC regarding use of the Service.

If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.
